1. Acceptance of Terms

By accessing or using Zaptty.com, OneTapSOS, our applications, websites, dashboards, alert systems, SMS features, email features, push notifications, location-sharing features, or related services (collectively, the "Services"), you agree to these Terms & Conditions (the "Terms"). If you do not agree, do not use the Services.

2. About Zaptty

Zaptty Technologies, Inc. ("Zaptty," "we," "us," or "our") provides technology tools designed to help users organize emergency contacts, send user-directed notifications, share information, and manage communications in moments where speed and preparedness matter.

Zaptty is a technology platform only. Zaptty does not provide emergency response services, legal services, medical services, law enforcement services, security services, or rescue services.

3. No Emergency Response; Call 911

Zaptty is not a substitute for calling 911 or local emergency services.

If you are experiencing a life-threatening emergency, danger, medical emergency, crime in progress, threat of violence, detention, arrest, or any situation requiring immediate assistance, you should directly contact 911, local law enforcement, emergency medical services, or another appropriate emergency provider.

Zaptty does not monitor emergencies, dispatch responders, guarantee attorney response, guarantee family response, or guarantee that any recipient will view or act upon an alert.

4. SMS Program Disclosure

By providing your mobile phone number, submitting a form, registering for an account, opting in, or otherwise agreeing to receive messages from Zaptty, you expressly consent to receive SMS/text messages from Zaptty and its service providers.

Messages may include account notifications, verification codes, security alerts, service updates, support communications, emergency-preparedness notifications, user-directed SOS alerts, attorney notifications, family notifications, location-related alerts, and product updates.

• Message frequency: Message frequency varies based on your account settings, user activity, emergency-contact setup, and use of the Services.
• Message and data rates: Message and data rates may apply depending on your wireless carrier and mobile plan.
• Opt out: You may opt out of SMS messages by replying STOP. After opting out, you may receive a confirmation message.
• Help: For help, reply HELP or contact us at abraham@zaptty.com.
• Carrier disclaimer: Wireless carriers are not liable for delayed or undelivered messages.
• Consent not required: Consent to receive marketing text messages is not a condition of purchasing any goods or services.

Transactional, security, account-related, emergency-preparedness, and legally required communications may continue where permitted by law, even if you opt out of marketing communications.

5. User-Directed Communications to Third Parties

The Services may allow users to designate attorneys, family members, emergency contacts, employers, schools, childcare providers, guardians, community organizations, or other recipients ("Designated Recipients").

By entering or uploading contact information for any Designated Recipient, you represent and warrant that:

• You have the right and authority to provide that contact information to Zaptty;
• You have obtained any consent required by applicable law;
• The Designated Recipient has not instructed you not to contact them through the Services;
• You authorize Zaptty to transmit messages, emails, alerts, calls, push notifications, and other communications to those Designated Recipients at your direction; and
• The information you provide is accurate and current.

You, not Zaptty, are responsible for obtaining consent from Designated Recipients and for ensuring that your use of the Services complies with applicable law.

6. TCPA and Automated Messaging Consent

To the fullest extent permitted by applicable law, you expressly authorize Zaptty and its service providers to send SMS/text messages, emails, push notifications, and other communications using automated technology, including communications to you and to Designated Recipients selected by you.

You acknowledge that Zaptty acts as a technology platform transmitting communications at your direction. You agree not to use the Services to send unlawful, harassing, abusive, fraudulent, misleading, unsolicited, or unauthorized messages.

You are responsible for compliance with the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, state telemarketing laws, privacy laws, and all other applicable laws related to communications you initiate or direct through the Services.

7. No Guarantee of Delivery

Zaptty does not guarantee that any SMS message, email, push notification, SOS alert, attorney notification, family notification, location update, video upload, dashboard alert, or other communication will be sent, received, delivered, viewed, accurate, timely, complete, or acted upon.

Communications may fail, be delayed, be blocked, be filtered, be misdirected, or be unavailable for reasons including but not limited to carrier outages, internet outages, device failure, weak signal, operating-system restrictions, battery depletion, incorrect contact information, spam filtering, GPS inaccuracies, third-party service failures, software errors, server outages, user error, natural disasters, government actions, or circumstances outside Zaptty's control.

You should never rely exclusively on Zaptty for emergency communications.

8. Location Information Disclaimer

Location data, GPS coordinates, maps, timestamps, and related information may be inaccurate, delayed, incomplete, or unavailable. Zaptty does not guarantee the accuracy or reliability of location information and does not guarantee that any recipient will be able to locate you based on information transmitted through the Services.

9. Attorney and Legal Services Disclaimer

Zaptty is not a law firm and does not provide legal advice. Use of the Services does not create an attorney-client relationship with Zaptty, its owners, employees, affiliates, contractors, or any attorney listed, contacted, or notified through the Services.

An attorney-client relationship exists only if separately and expressly agreed to between a client and attorney under applicable law.

10. User Responsibilities

You are responsible for maintaining accurate account information, current emergency-contact information, working devices, active mobile service, internet connectivity, sufficient battery power, appropriate privacy settings, and proper configuration of the Services.

You agree to use the Services only for lawful purposes and not to misuse the Services, interfere with the Services, attempt unauthorized access, transmit harmful code, impersonate others, or use the Services to threaten, harass, defraud, or harm any person.

11. Privacy

Your use of the Services is also governed by our Privacy Policy. Our Privacy Policy explains how we collect, use, protect, and disclose personal information, including phone numbers and SMS-related information.

12. Third-Party Services

The Services may rely on third-party providers, including telecommunications carriers, SMS providers, email providers, hosting providers, payment processors, mapping providers, analytics providers, and cloud-storage providers. Zaptty is not responsible for the performance, availability, security, actions, omissions, delays, or failures of third-party services.

13. No Warranties

The Services are provided on an "as is" and "as available" basis, with all faults and without warranties of any kind.

To the maximum extent permitted by law, Zaptty disclaims all warranties, express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, availability, security, uninterrupted operation, and error-free performance.

14. Limitation of Liability

To the maximum extent permitted by law, Zaptty and its owners, officers, directors, employees, contractors, affiliates, successors, agents, vendors, and service providers shall not be liable for any indirect, incidental, consequential, special, punitive, exemplary, or enhanced damages, including personal injury, death, detention, arrest, deportation, lost profits, lost data, lost business opportunities, property damage, emotional distress, or other losses arising out of or related to your use of or inability to use the Services.

Zaptty shall not be liable for damages resulting from failed communications, delayed communications, undelivered communications, incorrect recipient information, GPS inaccuracies, video upload failures, third-party service failures, device failures, user reliance on alerts or notifications, or any failure of SOS, SMS, email, push notification, attorney-notification, family-notification, or location-sharing features.

To the maximum extent permitted by law, Zaptty's total aggregate liability for any claim shall not exceed the greater of: (a) One Hundred Dollars ($100); or (b) the amount you paid to Zaptty during the twelve (12) months preceding the claim.

15. Indemnification

You agree to defend, indemnify, and hold harmless Zaptty and its owners, officers, directors, employees, contractors, affiliates, successors, agents, vendors, and service providers from and against any claims, demands, investigations, regulatory actions, lawsuits, damages, liabilities, penalties, fines, settlements, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

• Your use or misuse of the Services;
• Your violation of these Terms;
• Your violation of applicable law;
• Contact information or content you provide;
• Communications sent or directed by you;
• Alleged TCPA, privacy, consent, or messaging violations;
• Claims by Designated Recipients or other third parties; or
• Your reliance on the Services in an emergency or time-sensitive situation.

16. Intellectual Property

All content, trademarks, logos, trade names, software, designs, graphics, interfaces, technology, and other materials associated with the Services are owned by Zaptty or its licensors and are protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Services except as expressly permitted by Zaptty.

17. Changes to the Services and Terms

Zaptty may modify, suspend, or discontinue the Services at any time. Zaptty may update these Terms from time to time. Continued use of the Services after updated Terms are posted constitutes acceptance of the updated Terms.

18. Governing Law and Venue

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Any dispute arising out of or related to these Terms or the Services shall be brought exclusively in the state or federal courts located in New York County, New York, unless applicable law requires otherwise.
